Mine Member Terms & Conditions
These terms govern your Mine member account, private Shopify purchase matching, brand audiences, member earnings and withdrawals.
1. About these Terms
1.1 These Member Terms & Conditions (Terms) form an agreement between you and Mine Technologies Pty Ltd (ABN 24 693 393 127, ACN 693 393 127) (Mine, we, us or our).
1.2 These Terms govern your creation and use of a Mine member account through Mine’s website, web application and related member services (the Service).
1.3 You agree to these Terms when, after being given access to them, you select the acceptance control during onboarding or otherwise clearly indicate your acceptance.
1.4 Our Privacy Policy explains how we collect, use, disclose and retain personal information. It is available at https://app.mineinsights.com.au/privacy.html and should be read with these Terms.
1.5 Mine’s member service includes promotional payment emails that notify you when a participating brand allocates a monthly Mine payment. These emails may include promotional content and a link to the brand’s website. Consent to receive these emails is separate from acceptance of these Terms and the consent needed to operate private purchase matching.
1.6 To complete member onboarding, you must agree to these Terms, provide the required private-matching consent and provide express consent to receive the promotional payment emails described in clause 1.5.
1.7 After completing onboarding, you may withdraw promotional-email consent at any time. Withdrawing consent does not close or suspend your Mine account or affect your eligibility for member earnings, but Mine will stop sending the promotional emails covered by your withdrawal.
2. About Mine
2.1 Mine is a privacy-focused audience insights platform.
2.2 Mine allows eligible members to:
- connect with participating brands;
- participate in brand audiences;
- allow private matching of eligible Shopify purchases;
- become eligible for member earnings;
- view pending and available earnings; and
- withdraw available earnings through Mine’s payment provider.
2.3 Mine provides participating brands with aggregated, statistical or modelled audience and purchase-outcome insights. Mine does not provide a brand through the Service with your name, email address, Mine account identity, protected matching code, individual match status or individual purchase history.
2.4 A participating brand may separately hold information about purchases made through its own store. Mine does not tell that brand which customers are Mine members or which individual store records Mine has matched.
2.5 Mine is not a bank. A balance displayed in Mine is an account record under these Terms, not a bank account or deposit, and it does not earn interest.
3. Eligibility
3.1 To create and use a Mine member account, you must:
- be at least 18 years old;
- ordinarily reside in Australia;
- be legally capable of entering into these Terms;
- use an email address that belongs to you and that you can verify;
- provide accurate and current information; and
- use Mine only for lawful personal purposes.
3.2 You may hold only one active Mine member account unless Mine approves otherwise in writing.
3.3 Mine may ask for information reasonably required to confirm your identity, age, residency, account ownership, payment eligibility or compliance with these Terms.
3.4 You must not create an account using another person’s identity or email address, or allow another person to operate your account as their own.
4. Your account
4.1 You are responsible for:
- keeping your login details secure;
- using a strong password;
- keeping your email and recovery information current;
- protecting access to your devices; and
- notifying us promptly if you suspect unauthorised access.
4.2 You must not sell, transfer, share or commercially exploit your Mine account.
4.3 You are responsible for activity carried out through your account unless it occurred because Mine failed to take reasonable security precautions.
4.4 Contact brad@mineinsights.com.au if you have difficulty accessing your account or believe it has been compromised.
5. Required matching consent
5.1 Private purchase matching is a core part of the Mine member service. To participate, you must consent to Mine using your verified sign-in email address to create a protected matching code and to privately match eligible purchases from participating Shopify brands as described in these Terms and the Privacy Policy.
5.2 Mine records the versions of these Terms, the Privacy Policy and the consent wording presented to you, together with your choice and the acceptance date and time.
5.3 You may withdraw your matching consent by requesting closure of your Mine member account. Because private matching is required for participation, withdrawing that consent means you can no longer use the member service.
5.4 Withdrawal applies to future matching. It does not automatically require deletion of information that Mine must retain for legal, security, fraud-prevention, dispute, audit, accounting or privacy-compliance purposes.
5.5 Mine may require you to review and accept an updated consent or legal-document version before you continue participating where the relevant processing or documents change materially.
6. Private purchase matching
6.1 Private purchase matching is Mine’s process for comparing a protected code derived from your verified Mine sign-in email with a corresponding protected code derived from an eligible customer email supplied by a participating Shopify store.
6.2 You authorise Mine to:
- retrieve your verified Mine sign-in email from Mine’s authentication system;
- normalise that email and generate a secret-keyed, non-readable matching code;
- store the protected matching code and related internal identifiers;
- generate a corresponding code from an eligible order email received from a participating Shopify store;
- compare the codes to identify a match; and
- use eligible matched information for aggregated audience insights, service operation, reconciliation, fraud prevention, privacy compliance and the other purposes described in the Privacy Policy.
6.3 For this feature, purchase information may include:
- Shopify store, order, refund and event identifiers;
- a customer email processed for matching;
- paid, processed, updated, cancellation and refund dates;
- order total, refund amount and currency;
- cancellation, payment and test-order status; and
- limited metadata needed for deduplication, reconciliation, security, fraud prevention, privacy compliance or outcome measurement.
6.4 Mine does not ordinarily require or intend to retain customer names, phone numbers, street addresses, shipping details, complete payment-card details, product-level line items or shipping instructions for the initial private-matching feature.
6.5 Mine intends to discard a raw order email promptly after the matching step, except where limited temporary processing is reasonably required for security, reconciliation, privacy compliance or another disclosed lawful purpose.
6.6 A protected matching code or matched purchase record may still be personal information within Mine where Mine can connect or use it in relation to you. Mine does not describe that information as anonymous merely because your readable email is not displayed.
6.7 Mine may use eligible matched purchase information to calculate aggregated, statistical or modelled measures such as purchase rates, revenue, refunds, repeat purchases, conversion timing and audience return.
6.8 Mine applies aggregation, access controls and suppression rules intended to reduce the risk that a brand could infer an individual member’s behaviour.
6.9 A purchase does not need to match for you to receive the standard member earning described in section 9.
6.10 Matching may be incomplete or inaccurate because of different or shared email addresses, guest checkout, offline purchases, missing or delayed Shopify data, refunds, cancellations, technical failures or other factors. Mine does not guarantee that every eligible purchase will be matched.
6.11 Purchase-outcome measures may describe observed changes or estimates. They do not establish that Mine or a member earning caused a particular purchase or commercial result.
7. Brand audiences
7.1 A brand audience is a group of Mine members connected with a participating brand.
7.2 You may connect with a brand by accepting an invitation or join link, choosing the brand through Mine, or another method clearly described in the Service.
7.3 Being connected with a brand does not:
- give the brand access through Mine to your identity, individual match status or individual purchase history;
- require you to make a purchase;
- guarantee an earning; or
- create an employment, agency or contractor relationship between you and the brand or Mine.
7.4 You may leave a brand audience using an available Mine control or by contacting us. Leaving applies prospectively and stops new private matching and qualification for that brand.
7.5 A brand or Mine may move or remove you from a brand audience in accordance with the Service rules, including audience-capacity, account-status, closure, fraud-prevention or eligibility rules.
8. Audience states
8.1 A connection with a brand may have one of the following states:
- Waiting to join: you are connected with the brand but are not currently part of its Active audience, usually because of the brand’s audience controls or capacity. You do not qualify for an earning while Waiting to join, and Mine does not display a pending earning merely for being in this state.
- Active: you are part of the brand’s Active audience. Private matching may operate for that brand and you may begin qualifying for that month’s standard earning.
- Removed: the connection is no longer open. New matching and qualification for that brand stop.
8.2 A brand may control the size of its Active audience. New or existing connections may therefore remain or move to Waiting to join.
8.3 An audience-state change does not remove an amount that has already become Available, and it does not remove a locked pending amount except as permitted by section 12.
9. Monthly qualification
9.1 The standard member earning is A$1.00 for each participating brand and calendar month for which all applicable requirements in this section are satisfied.
9.2 To qualify for a brand’s standard earning for a calendar month:
- your Mine account must be active, verified and eligible;
- you must have provided the required private-matching consent;
- the brand must be participating and eligible for that month;
- your connection must remain in the brand’s Active audience for at least 20% of that calendar month, calculated from Mine’s recorded audience-status times using the method disclosed in the Service;
- you must not be disqualified by fraud, duplication, manipulation, manifest error or another valid restriction under these Terms; and
- the brand payment must be received and cleared, or Mine must expressly choose to fund the earning, before the amount becomes Available.
9.3 You can qualify for no more than one standard A$1.00 earning from the same brand for the same calendar month. Leaving, being removed, moving between audience states or reconnecting does not create an additional earning for that brand and month.
9.4 You do not need to make a purchase, have a purchase matched or spend money with the brand to qualify for the standard earning.
9.5 Mine may use automated rules to calculate qualification. Mine’s recorded result is used for earnings and billing, subject to correction of errors and your review rights under section 12.
9.6 Mine may change the standard amount or qualification rule for future months by giving reasonable advance notice of a material change. A less favourable change will not ordinarily apply retrospectively to a completed month.
10. Pending and available earnings
10.1 When your connection becomes Active, Mine may immediately display a Pending A$1.00 amount for that brand and month.
10.2 A Pending amount is provisional. It is not yet earned, payable or withdrawable, does not form part of your Available balance and does not count towards the A$5.00 withdrawal minimum.
10.3 Before you reach the 20% Active threshold, a Pending amount may be removed if you leave the audience or your connection moves to Waiting to join or Removed.
10.4 Once Mine records that you reached the 20% Active threshold, the Pending amount becomes locked for qualification purposes. It will not be removed merely because the connection later moves to Waiting to join or Removed, but it remains Pending until the applicable brand payment clears or Mine chooses to fund it.
10.5 A Pending amount may be awaiting:
- completion of the 20% Active qualification period;
- the brand’s monthly billing cycle;
- the stage at which the brand is required to establish payment;
- successful collection and clearance of the brand payment; or
- resolution of a payment, account, eligibility, fraud or technical review.
10.6 Mine will use the Service to provide a reasonable explanation of a Pending status. A Pending amount may remain pending while the relevant condition remains unresolved. If it will not become Available, Mine may remove it and, where practicable, explain why.
10.7 A standard A$1.00 amount becomes Available only when you have qualified and the applicable brand payment has been received and cleared, or Mine has expressly chosen to fund it.
10.8 Once an amount becomes Available, Mine will not remove it merely because a brand later defaults, reverses payment or stops participating, unless section 12 permits a correction or reversal for a reason directly affecting that earning.
10.9 Pending amounts, estimates and predicted future earnings are not guarantees of payment.
11. Withdrawals and Stripe
11.1 Withdrawals are processed through Stripe or another payment provider clearly identified by Mine.
11.2 You may need to create or complete a connected payout account and provide identity, contact, banking or other information required by the payment provider or law.
11.3 Payment providers may verify your identity and may refuse, delay or restrict a payout under their own legal and compliance obligations.
11.4 The ordinary minimum withdrawal amount is A$5.00 of Available earnings.
11.5 When your Available balance is at least A$5.00 and your payout account is ready, you may request a withdrawal through the Service.
11.6 Mine does not charge an ordinary withdrawal fee unless a fee is clearly disclosed before you confirm the withdrawal.
11.7 Withdrawal times are estimates and may depend on the payment provider, banks, weekends, public holidays, verification and compliance checks.
11.8 A withdrawal may be shown as queued, processing, succeeded, failed or another clearly explained status.
11.9 If a withdrawal fails before funds are successfully transferred, Mine will ordinarily return the reserved amount to your Available balance after the failure is confirmed.
11.10 When you close your account, Mine will take reasonable steps to pay an Available balance below A$5.00, subject to identity verification, payout-account readiness, legal restrictions and unresolved payment, fraud or account-ownership issues.
11.11 You are responsible for obtaining your own advice about any tax consequences of member earnings. Mine may report or withhold amounts where required by law.
12. Errors, reversals and reviews
12.1 Mine may withhold, delay, remove or correct a Pending amount, or correct or reverse an Available amount, where Mine reasonably believes it results from:
- duplicate accounts, audience connections, earnings or transactions;
- false, misleading, manipulated, automated or fraudulent activity;
- an ineligible account, brand, month or audience state;
- a payment-provider reversal directly affecting the validity of the earning;
- a technical, calculation or administrative error; or
- another lawful reason reasonably connected with the earning or withdrawal.
12.2 Mine will not withhold, correct or reverse an amount arbitrarily. Where practicable, we will explain the reason and give you an opportunity to provide relevant information.
12.3 You may request review of an audience status, qualification result, Pending amount, Available earning, correction, reversal or withdrawal outcome.
12.4 You should preferably email brad@mineinsights.com.au within 60 days after the relevant result or transaction appears in Mine. A later request may still be considered where reasonably practicable. This timeframe does not limit a right or remedy available under law.
12.5 Include the email linked to your account, the relevant brand, month or transaction, and a description of the issue.
12.6 Mine will investigate and respond within a reasonable period and may ask for information reasonably needed to complete the review.
13. Acceptable use
13.1 You must not:
- provide false or misleading identity, age, residency, account or payment information;
- create or control multiple member accounts;
- use another person’s email, identity, purchase information or payout details;
- repeatedly leave, rejoin or manipulate brand-audience states to seek duplicate earnings;
- fabricate, manipulate or interfere with audience membership, purchase matching, earnings or withdrawals;
- probe, bypass or interfere with the Service, APIs, security controls or another user’s account;
- introduce malicious code or use automated access except where Mine permits it; or
- use Mine for an unlawful, fraudulent or abusive purpose.
13.2 You must comply with applicable laws and reasonable technical or security instructions provided by Mine.
13.3 Ordinary inactivity, choosing not to connect with a brand, leaving a brand audience or requesting account closure is not a breach of these Terms.
14. Third-party services
14.1 Mine relies on third-party services, including Supabase, Shopify, Stripe, Resend, DigitalOcean and other commerce, payment, communications or infrastructure providers.
14.2 Your use of certain features may also be subject to applicable third-party terms, including Stripe’s connected-account terms. Participating brands separately control their own stores and Shopify accounts.
14.3 Mine is responsible for the Service it supplies to you, subject to these Terms and applicable law. Mine is not responsible for a third party’s separate service, decision or conduct where that matter is outside Mine’s reasonable control.
15. Intellectual property
15.1 Mine and its licensors own all intellectual property rights in the Service, website, software, branding, designs, content, APIs, databases and documentation, except for material owned by third parties.
15.2 Mine grants you a limited, personal, non-exclusive, non-transferable and revocable licence to use the Service in Australia for its intended purpose while your account remains active and you comply with these Terms.
15.3 You must not copy, distribute, sell, license, modify or commercially exploit Mine content or software except as permitted by law or with our written permission.
15.4 You retain ownership of information you provide to Mine.
15.5 You give Mine the rights reasonably necessary to host, process, analyse and use information you provide to deliver, secure and improve the Service, operate brand audiences, calculate earnings and comply with law, subject to these Terms and the Privacy Policy.
16. Service availability and changes
16.1 Mine is an evolving service. Features, participating brands, audience controls, qualification processes, dashboards and integrations may change over time.
16.2 Mine may modify, replace or discontinue a feature where reasonably required for technical, security, legal, commercial or product reasons.
16.3 Where a change materially reduces an important member right or materially changes how earnings are calculated, Mine will give reasonable advance notice where practicable.
16.4 Mine will not ordinarily apply a less favourable change retrospectively to an Available earning or a completed qualification period.
16.5 Mine may perform maintenance, suspend a feature temporarily or experience outages. Subject to non-excludable rights, Mine does not guarantee that the Service will always be uninterrupted or error-free.
17. Suspension and restriction
17.1 Mine may temporarily restrict or suspend your account where reasonably necessary to:
- investigate suspected fraud, manipulation or security compromise;
- protect you, Mine, brands or other users;
- comply with law or a valid request from an authority;
- address a serious or repeated breach of these Terms;
- resolve a payment, identity or account-ownership issue; or
- prevent material harm to the Service.
17.2 Where practicable, Mine will explain the restriction, limit it to what is reasonably necessary, give you an opportunity to respond and restore access when the reason no longer applies.
17.3 Mine may permanently close your account for a serious or repeated breach, fraud, unlawful conduct or material security risk. Except where immediate action is reasonably required, Mine will give reasonable notice.
17.4 Suspension or closure does not remove an Available earning unless section 12 permits correction or reversal.
18. Closing and deleting your account
18.1 You may initiate account closure through the Service or contact Mine for assistance.
18.2 When you request closure, Mine will take steps to:
- disable new private purchase matching;
- end open brand-audience relationships;
- stop new qualification and Pending amounts;
- process an Available final balance, including an amount below A$5.00;
- close authentication access; and
- delete or de-identify information that is no longer required.
18.3 Closure may not be immediate where a withdrawal is processing, identity or account ownership must be verified, an unresolved payment, dispute, fraud or security issue exists, or Mine must retain information for accounting, tax, legal or regulatory purposes.
18.4 Mine may retain limited financial, purchase-matching, transaction, legal-acceptance, fraud, dispute, audit, security and privacy-compliance records after closure where reasonably required and as described in the Privacy Policy.
18.5 Mine will ordinarily complete deletion or de-identification of account and profile information within 90 days after closure, subject to the exceptions in section 18.3 and the retention periods in the Privacy Policy.
18.6 Closing your Mine account does not require a participating brand or Shopify to delete its own lawful sales, tax or customer records.
19. Privacy
19.1 Mine handles personal information in accordance with its Privacy Policy.
19.2 The Privacy Policy explains:
- what Mine collects;
- how private purchase matching and protected matching codes work;
- how purchase information is received from participating Shopify brands;
- how aggregated audience and purchase-outcome insights are produced;
- what brands receive;
- how service providers process information;
- retention periods and overseas processing; and
- your access, correction, complaint and deletion rights.
19.3 Where there is an inconsistency about personal-information handling, the Privacy Policy applies to that handling, subject to applicable law.
20. Communications and marketing
20.1 Mine may send essential service communications, including account verification, password reset, audience-status, payment, withdrawal, security, legal-update, interruption and action-required messages.
20.2 Essential service communications are not optional where reasonably required to operate or secure your account.
20.3 While your recorded consent remains active, Mine may send promotional payment emails that identify the participating brand associated with a member payment and may contain promotional brand content and a link to that brand’s website. Mine sends these communications only where you have consented or where otherwise permitted by law.
20.4 You can unsubscribe from promotional emails from a particular brand or from all Mine promotional emails using the unsubscribe link provided in each message. You may also withdraw consent by contacting brad@mineinsights.com.au.
20.5 Withdrawing promotional-email consent does not close or suspend your account, affect your eligibility for member earnings or prevent essential account, security, legal or transaction-related communications.
21. Consumer guarantees and disclaimers
21.1 Nothing in these Terms excludes, restricts or modifies a consumer guarantee, right or remedy that cannot lawfully be excluded or restricted, including under the Australian Consumer Law.
21.2 Subject to section 21.1, Mine does not promise:
- a particular total level of earnings or number of brands;
- that every Pending amount will become Available;
- uninterrupted availability of the Service;
- that every eligible purchase will be received or correctly matched;
- that a measured commercial result was caused by Mine or a member earning;
- that every brand will continue participating; or
- that an estimate or predicted earning will be achieved.
21.3 Information supplied through Mine is general information about the Service. It is not personal financial, tax or legal advice.
22. Liability
22.1 Nothing in these Terms limits liability where doing so would be unlawful.
22.2 To the extent permitted by law, Mine is not liable for loss to the extent that the loss:
- was not reasonably foreseeable when you accepted these Terms;
- was caused by your breach of these Terms, fraud or misuse;
- was caused by inaccurate information you supplied;
- arose from a third-party service or event outside Mine’s reasonable control; or
- is an indirect business or commercial loss arising from your personal use of Mine.
22.3 To the extent permitted by law, where Mine is liable for a failure to comply with a consumer guarantee and the law permits the remedy to be limited, Mine may choose to resupply the affected service or pay the reasonable cost of having it resupplied.
23. Complaints and support
23.1 Questions, complaints and support requests can be sent to:
Mine Technologies Pty Ltd
2/17 Penfold Road
Magill SA 5072
Australia
Email: brad@mineinsights.com.au
23.2 Include enough information for Mine to understand and investigate the issue. Mine will acknowledge and respond within a reasonable period.
23.3 Privacy complaints are also handled under the Privacy Policy.
23.4 Nothing in these Terms prevents you from contacting an applicable regulator, consumer-protection body, court or tribunal.
24. Changes to these Terms
24.1 Mine may update these Terms to reflect changes to the Service, law, security or fraud risks, providers, payment methods or reasonable commercial operations.
24.2 Mine will publish the updated Terms and change the effective or updated date.
24.3 Where a change is material, Mine will give reasonable advance notice through the Service or email where practicable, explain when it takes effect and may require you to accept the new version before continuing.
24.4 A change will not remove an Available earning recorded before the change except where section 12 permits correction or reversal.
24.5 If you do not agree to a material update, you may stop using Mine and request account closure without penalty.
25. Governing law
25.1 These Terms are governed by the laws of South Australia and the Commonwealth of Australia.
25.2 You and Mine submit to the courts and tribunals having jurisdiction in South Australia.
25.3 Section 25.2 does not prevent you from exercising a right to bring a claim elsewhere where applicable law permits.
26. General
26.1 If a provision is invalid or unenforceable, it is to be read down to the minimum extent necessary. If it cannot be read down, it is severed and the remaining provisions continue.
26.2 Mine’s delay in exercising a right does not waive that right.
26.3 You may not transfer your rights or obligations under these Terms without Mine’s written consent.
26.4 Mine may transfer these Terms as part of a genuine sale, restructure or transfer of its business, provided the transfer does not reduce your non-excludable rights.
26.5 These Terms, the Privacy Policy and any additional terms clearly accepted for a particular feature form the agreement between you and Mine about the member Service.
26.6 Headings are for convenience only and do not affect interpretation.
